These terms govern access to the autoroot.ai website, forms, demos, digital tools, and services offered by Autoroot Technologies.

These terms apply to the website, pages, content, forms, demos, tools, communications, and digital services associated with Autoroot Technologies.

Separate Agreements

When a client signs a proposal, purchase order, service agreement, or contract with Autoroot, the terms of that agreement prevail in the event of a conflict with these general terms.

Autoroot Technologies develops digital solutions for the automotive industry, including websites, inventory, marketing automations, online sales, integrations, and tools powered by artificial intelligence.

Autoroot’s services are primarily intended for car dealerships, auto groups, and businesses in the automotive sector.

Variable Availability

Available features may vary depending on the plan, contract, enabled integrations, third-party providers, and configurations specific to each client.

No Guarantee of Results

Results related to SEO, advertising campaigns, conversions, leads, sales, or web performance may vary due to multiple external factors.

Service Evolution

Autoroot may modify, enhance, suspend, or replace certain features in order to advance its products, technologies, and integrations.

Section 03

Use of the site

You agree to use the autoroot.ai site lawfully, reasonably, and in accordance with these terms.

Permitted use

You may browse the site, request information, fill out a form, request a demo, contact Autoroot, and use the services in accordance with the applicable terms.

Prohibited uses

Use the site for fraudulent, illegal, deceptive, or abusive purposes.

Attempt to gain unauthorized access to our systems, servers, databases, accounts, or interfaces.

Copy, extract, reproduce, or extensively reuse the site's content without written permission.

Transmit content that is malicious, offensive, defamatory, misleading, or contrary to applicable laws.

Use our forms to send spam, fake requests, or inaccurate information.

Forms and communications

When you fill out a form, you agree to provide information that is accurate, complete, and up-to-date.

By submitting a request for a demonstration, audit, support, or information, you authorize Autoroot to contact you in order to respond to your request.

When required by Canada's Anti-Spam Legislation (CASL), Autoroot will obtain your consent before sending you commercial electronic messages.

Unsubscribe

Commercial communications sent by Autoroot will include, where applicable, the required identifying information and an unsubscribe mechanism.

Data, inventory and client content

Autoroot can process, display, synchronize or integrate data provided by its clients or by third-party systems.

Client responsibility

The client remains responsible for the accuracy, legality, compliance, and updating of the data, content, prices, vehicles, images, promotions, descriptions, forms, leads, and business information it provides or authorizes to be integrated into Autoroot’s services.

Inventory

Vehicles, prices, availability, images, and descriptions may come from DMS, CRM, files, APIs, or external providers.

Leads

Forms, test drive requests, credit applications, calls, messages, or conversations may be forwarded to the client or to its tools.

Third-party systems

Autoroot cannot be held responsible for errors, delays, or omissions arising from external sources or connected systems.

Sites powered by Autoroot

Dealers and end users

Autoroot may provide technologies, interfaces, websites, forms, inventory modules, artificial intelligence tools, or other digital services to automotive dealers. When a user interacts with a site, a form, or a tool owned by a dealer and powered by Autoroot, the dealer may act as the primary party responsible for certain information displayed or collected, including prices, promotions, availability, credit applications, test-drive requests, trade-ins, and commercial communications.

Autoroot may act as a technology provider, service provider, or subcontractor, depending on the context and the applicable agreement with the dealer. The policies, terms, and practices of the relevant dealer may also apply.

Artificial intelligence and automations

Some Autoroot services may use technologies for artificial intelligence, recommendations, content generation, analytics, or conversational assistance.

Automatically generated results+
Even though Autoroot makes reasonable efforts to ensure the quality, relevance, and reliability of results, automatically generated content, recommendations, or answers may contain errors, approximations, or incomplete information.
Validation before publication+
The client is responsible for reviewing and validating important content before its publication or commercial use, including prices, promotions, vehicle descriptions, financing terms, legal information, and customer communications.
Chatbot, conversations and assistance+
Conversational tools can assist users, qualify requests, or direct prospects to a human team. They do not replace the final validation of an advisor, a dealer, or a qualified professional.

Integrations and third-party services

Autoroot’s services can integrate with platforms, APIs, tools, or third-party providers used by dealerships.

Autoroot does not control third-party services and does not guarantee their availability, security, accuracy, or continuity.

Autoroot recognizes the importance of protecting personal information in accordance with the laws applicable in Quebec and Canada.

Unless otherwise stated, Autoroot is not responsible for determining sale prices, discounts, incentives, rates, fees, taxes, financing terms, or the actual availability of vehicles.

Distance contracts

When services are purchased directly online from Autoroot, certain provisions relating to distance contracts may apply, including under Quebec's Consumer Protection Act when a consumer is involved. For services intended for businesses, specific commercial terms are generally set out in a proposal, purchase order, service agreement, or separate contract.

Section 10

Intellectual property

The autoroot.ai website, its design, texts, visuals, logos, trademarks, interfaces, components, code, software, features, databases, methodologies, and documents belong to Autoroot Technologies or its licensors, unless otherwise indicated.

You may not copy, modify, distribute, sell, rent, reproduce, publish, disassemble, or exploit these elements without Autoroot’s prior written authorization. Trademarks, logos, or content belonging to clients, dealers, manufacturers, or partners remain the property of their respective owners.

Client references

Autoroot may publish testimonials, logos, case studies, project examples, or client references when authorized or reasonably permitted as part of the business relationship. A client may contact Autoroot to request the removal or modification of a reference concerning them.

Section 11

Availability, security and access

Autoroot makes reasonable efforts to keep its site and services accessible, secure, and operational.

Accounts and passwords

You are responsible for maintaining the confidentiality of your access credentials and all activities carried out from your account.

Suspension of access

Autoroot may suspend or restrict access if suspicious, unauthorized, or terms-violating activity is detected.

Interruptions

Access may be interrupted due to maintenance, updates, technical incidents, third-party providers, network outages, or force majeure.

Section 12

Limitation of liability

To the extent permitted by law, Autoroot cannot be held liable for certain indirect damages or losses arising from the use of the site or the services.

Indirect damages

Autoroot cannot be held liable for loss of revenue, loss of profits, loss of data, loss of opportunities, business interruptions, harm to reputation, or other indirect damages.

Business decisions

Autoroot cannot be held liable for decisions made on the basis of information, recommendations, automations, analyses, or content generated or displayed by its tools when these elements have not been validated by the client.

No warranty

The site and its content are provided as is and as available. Autoroot does not guarantee that the information published will always be accurate, complete, up to date, or suitable for a specific situation.

Mandatory liability

No provision of these terms is intended to limit any liability that cannot be limited under applicable law.

Section 13

Suspension or Termination

Autoroot may suspend or terminate access to its site, specific features, or certain services if a user or client breaches these terms, disrupts the operation of the services, compromises system security, or misuses the services.

The terms for terminating paid or contractual services are determined by the applicable agreement between Autoroot and the client.

Section 14

Changes to the Terms

Autoroot may amend these Terms of Use to reflect changes in its services, practices, legal obligations, or operations.

Continuing to use the site or services after a change means that you accept the updated terms.

Section 15

Governing law, jurisdiction and language

These Terms are governed by the laws of the Province of Quebec and the applicable federal laws of Canada.

Subject to mandatory consumer rights, any dispute relating to the site, the services or these Terms will be submitted to the competent courts of the applicable judicial district in Quebec.

These Terms may be provided in French and English. In the event of any discrepancy between the versions, the French version prevails, unless otherwise specified in a separate written agreement.
